Audax Group i s in talks to acquire AP Exhaust Technologies LLC, a Goldsboro, N.C.-based maker of aftermarket vehicle exhaust parts, according to an FTC filing. Www.apexhaust.com

Brynwood Partners has acquired Joseph’s Pasta Co., a Haverhill, Mass.-based maker of frozen pasta and sauces, from Nestlé Prepared Foods Co. No financial terms were disclosed. Www.brynwoodpartners.com

Clearlake Capital Group has formed Tolt Solutions Inc., a provider of outsourced retail IT services and solutions, via the acquisitions and merger of Kyrus Solutions Inc. (Taylors, S.C.) And Tolt Services Group (Charlotte). Www.toltservicegroup.com

Fleury, a listed Brazilian provider of medical diagnostics services, has received takeover interest from several private equity firms, according to Bloomberg. The deal could be worth north of $1.2 billion, with suitors including Apax Partners, The Carlyle Group, KKR and Gavea Investimentos. Www.fleury.com.br

Oak Hill Advisors and OHorizons Global have acquired DGH-Group, a German provider of aluminum and magnesium high pressure die casting components primarily for the automotive industry. No financial terms were disclosed. Www.oakhilladvisors.com

Permira has agreed to “acquire more than $200 million of the outstanding equity” of LegalZoom, a Glendale, Ariz.-based provider of legal documents and services that had been in registration for an IPO. The company is now expected to withdraw its IPO registration. Existing LegalZoom shareholders – including Polaris Venture Partners, Institutional Venture Partners, and Kleiner Perkins Caufield & Byers – will retain minority ownership positions. YP, an Atlanta-based local search and ad company owned by Cerberus Capital Management, has acquired Sense Networks, a New York–based provider of predictive ad analytics that leverage mobile location data. IPOs

Fortress Transportation and Infrastructure Investors, a New York-based owner and acquirer of transportation and transportation-related infrastructure assets, has filed for a $100 million IPO. It plans to trade on the NYSE, with Barclays and Deutsche Bank Securities serving as lead underwriters. The company is owned by Fortress Investment Group. Www.fortress.com

Accel-KKR has agreed to sell KANA Software Inc., a Sunnyvale, Calif.–based provider of on-premises and cloud-based customer service solutions, to Verint Systems Inc. (Nasdaq: VRNT). The deal is valued at approximately $514 million in cash, and is expected to close by the end of April. Accel-KKR had paid $41 million to acquire KANA back in 2009. Www.kana.com

Cvent (NYSE: CVT), a McLean, Va.-based SaaS provider of online event management and venue selection solutions, has filed for a secondary public offering of 4.8 million shares. At last Friday’s closing price of $37.54 per share, the offering would raise just over $180 million. Sellers would include Insight Venture Partners (1.19m of 8.7m shares) and New Enterprise Associates (1m of 7.3m shares). Www.cvent.com

Andina Acquisition Corp. (Nasdaq: ANDA) has completed a reverse merger with Tecnoglass Inc., a Colombian maker of hi-spec, architectural glass and windows for the global residential and commercial construction industries. Andina’s name has now been changed to Tecnoglass, and its shares will trade under the ticker symbol TGLS. Morgan Joseph TriArtisan managed the merger process. Www.tecnoglass.com

The Men’s Wearhouse (NYSE: MW) has launched a $1.6 billion hostile takeover bid for Jos A. Bank (Nasdaq: JOSB), whose board had rejected an earlier acquisition approach. The new bid represents a 4.5% increase, or $57.50 per share. Www.menswearhouse.com

Szechenyi Bank has offered to buy the Hungarian unit of Austria-based Raiffeisen Bank International, according to a local press report. No financial terms were disclosed. The Hungarian government owns a minority stake in Szechenyi Bank. Www.szechenyibank.hu

XPO Logistics Inc. (NYSE: XPO) has agreed to acquire Pacer International Inc. (Nasdaq: PACR), a Dublin, Ohio–based provider of intermodal transportation services in North America.
